Service Agreement for Done-For-You Agency Program

Agreement of Terms and Conditions Between Sobe Viral LLC (Referred to as “Service Provider” in further text) And ___Client__________ (Referred to as “Client”  This Agreement is made between "Client", and Sobe Viral LLC, "Service Provider", functioning in the capacity of an Independent Contractor, for Consulting Services to be rendered by Service Provider for Client. Collective, the Agency and the Client are referred to as “Parties." The purpose of this Agreement is to clarify consulting and services provided by the Service Provider for Client.

 

1. Services Provided.

With entry into the Service Provider’s ‘Done-For-You agency program’ at the ‘Coached Level’, the following services will be provided. The ‘Coached level’ in the Done-For-You Agency program is defined solely as the delivery of the services listed below:

1. Lifetime access to the Done-For-You online portal containing all of the training videos, funnels, and downloadable documents.
2. Email support to assist Client with any questions/issues.
3. Access to our pre-vetted contractors list. Individual contractor’s pricing is separate from this agreement.
4. 8 weeks of access to the Done-For-You mastermind Facebook group.
5. 3 pre-built agency lead generating funnels on Clickfunnels
6. 8 group sales coaching calls.
7. 8 group Facebook ads, funnel and program support coaching calls

 

2. Payment.

For compensation of Service Provider’s performance of these services, Client agrees to pay Service Provider the mutually agreed upon price of $__2997______. 

 

3. Expectations.

Work will commence after receipt by Service Provider of the agreed upon payment.

• Client understands that the information given by Service Provider is strictly for educational purposes. Therefore, if you wish to apply (or not apply) ideas given, you are taking full responsibility for your actions.
• As with any business agreement, there are risks involved. Lead generation is not fool-proof and more leads will not help if the business fundamentals are essentially flawed. Sales and revenue for the Client’s business are not guaranteed and individual results will always vary and depends entirely on the Client‘s capacity, work ethic, business skills, level of motivation, the state of the economy, normal and unforeseen risks of doing business, and various other factors.
• Some Client’s results can arrive substantially sooner than others. The Client understands that it takes drive, perseverance, patience and a reasonable amount of resources to attain desired results. The Client agrees that Sobe Viral LLC or any of its employees or contractors are not liable to the Client in any way for the Client’s results in using the products and services provided by the Service Provider.
• All 1-on-1 and group coaching video and audio calls are recorded for quality and training purposes. By signing this agreement you acknowledge and agree to participating in the recorded coaching calls.

 

4. Client Responsibility.

Client will put forth reasonable effort to achieve the action items they set for themselves with Service Provider.

 

5. Terms of Sale.

Client and Service Provider are in agreement that circumstances or conditions sometimes arise that warrant or necessitate termination of the Client-Service Provider working relationship. In view of this possibility, both Client and Service Provider agree that should the relationship terminate, it will be done so in an amicable fashion, maintaining an attitude of cooperation and professional demeanor, with respect for the reputation and dignity of the other party. If notice of termination is given by either Client or Service Provider, no new work shall be initiated.

 

6. Refund Policy 

All sales are final. There are no refunds, exchanges or returns.

7. No Disparagement or Misappropriation

At no time (i.e., indefinitely) following the signing of this agreement shall The Client make any statements online or offline, or take any other actions whatsoever, to disparage, defame, sully or compromise the goodwill, name, brand or reputation of The Service Provider or any of its affiliates or commit any other action that could likely injure, hinder or interfere with The Service Provider’s business, business relationships or the Goodwill of The Service Provider or its affiliates. The Client hereby represents and warrants that, prior to the date of this agreement, The Client has not committed any of the foregoing actions described in this Section.

 

8. Release of Liability.

Sobe Viral LLC does not offer medical, legal or other professional advice. All information is intended for educational purposes only. In consideration of my participation in the program, I, my heirs, legatees, assigns, agents, officers, directors, shareholders and co-workers hereby release Sobe Viral, heirs, assigns, agents, officers, directors, and shareholders, assistant instructors, experts, and teachers, from any and all claims, demands, or causes of action arising from my participation in this agreement.

 

9. Breach of Contract and Chargebacks

If any chargeback is filed on the money paid in this agreement by the Client to the Service Provider, the Client will immediately be in breach of this contract and will be held liable for damages to Sobe Viral LLC equal to the full amount charged back plus any merchant processor fee’s assessed.

 

10. Legal Venue.

Any disputes arising from this Agreement will be litigated or arbitrated in Broward County, FL, USA. This Agreement shall be governed in accordance with the laws of the State of Florida, USA.

 

11. Indemnification

The Client will, at their own expense, defend, indemnify, and hold Sobe Viral LLC, its agents, contractors, and employees harmless from any and all claims, actions, liabilities, injuries, damages, losses, grants, costs, and expenses, including attorney fees, arising out of or in connection with any use of the Program(s) of this Agreement.

 

12. Video and Audio Recording

All group and 1-on-1 coaching calls, both in audio and video format, in this program are recorded for quality assurance and also used to create online promotional material. By signing this agreement, The Client consents to allowing Sobe Viral LLC, its agents, contractors, and employees to record them in any and all audio and video conversations and publish them online as promotional material and retain the recordings for legal, promotional, and quality and training purposes.

 

13. Client Requirements.

The client is of legal age, competence, and intends to be legally bound by this Agreement. I have read this document and fully understand everything in it.
